Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Optimised Marketing ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Optimised Marketing provides digital marketing services including but not limited to website development, search engine optimisation, online advertising, social media marketing, AI programming and automation, and related consulting services. The specific scope of services will be outlined in individual service agreements.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information as requested
• Grant necessary access to accounts, platforms, and systems required for service delivery
• Respond to communications in a timely manner
• Pay all fees as outlined in your service agreement
• Comply with all applicable laws and regulations

4. Intellectual Property

Upon full payment, clients receive ownership of deliverables specifically created for them, excluding any pre-existing materials, templates, or third-party components. We retain the right to use non-confidential aspects of our work for portfolio and marketing purposes unless otherwise agreed in writing.

5. Payment Terms

5.1 One-Time Payments

Website packages may be purchased with a single one-time payment. Payment is due in full before work commences unless otherwise agreed in writing.

5.2 Payment Plans (2-Month & 12-Month)

We offer payment plans for website packages allowing you to spread the cost over 2 or 12 monthly instalments. Payment plans incur an administrative fee to cover the additional processing and management costs:

• 2-Month Payment Plan: 10% admin fee (total cost is 110% of the one-off payment price)
• 12-Month Payment Plan: 20% admin fee (total cost is 120% of the one-off payment price)

Example: A website package priced at £497 one-off would cost £546.70 total over 2 payments (£273.35 × 2), or £596.40 total over 12 payments (£49.70 × 12). The admin fee is included in the displayed payment amounts and total cost shown at checkout.

By selecting a payment plan:

• You authorise us to charge your payment method automatically each month
• Payments are non-refundable once work has commenced
• Missed payments may result in service suspension
• The subscription automatically cancels after the final payment
• You may cancel at any time, but no refunds will be issued for payments already made or services delivered

5.3 Recurring Subscriptions (Add-On Services)

Monthly subscription services (SEO, Lead Generation, etc.) continue on a rolling monthly basis until cancelled. By subscribing:

• You authorise automatic monthly charges to your payment method
• Subscriptions renew automatically each month
• You may cancel at any time (see section 6 below)
• No refunds are provided for partial months

5.4 Payment Processing

All payments are processed securely through Stripe. We do not store your full payment card details. By providing payment information, you confirm that you are authorised to use the payment method provided.

6. Cancellation Policy

6.1 14-Day Cooling-Off Period (UK Consumer Contracts Regulations)

For services purchased online, you have the right to cancel within 14 days of purchase without giving any reason. However:

• If you request that work begins during the 14-day period, you acknowledge that you lose your right to cancel once the service is fully performed
• If you cancel after work has commenced, you must pay for the proportion of services already provided

6.2 Subscription Cancellation

You may cancel recurring subscriptions at any time through your client dashboard or by contacting us. When you cancel:

• Your subscription will remain active until the end of your current billing period
• You will continue to have access to services until the period ends
• No further charges will be made after the current period expires
• No refunds will be provided for the remaining days in your current billing period
• You may reactivate your subscription at any time before the period ends

6.3 Payment Plan Cancellation

If you cancel a payment plan (2-month or 12-month) before all instalments are paid:

• You remain liable for all remaining payments
• We reserve the right to pursue outstanding amounts
• No refunds will be issued for payments already made
• Access to delivered work may be suspended until payment is received

7. Refund Policy

Refunds are only provided in the following circumstances:

• You cancel within the 14-day cooling-off period before work commences
• We are unable to deliver the agreed services
• There is a billing error on our part

No refunds are provided for:

• Services already delivered or partially completed
• Subscription cancellations (service continues until period end)
• Change of mind after work has commenced
• Partial months or unused time

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This obligation survives the termination of any service agreement.

9. Limitation of Liability

To the maximum extent permitted by law, Optimised Marketing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claims arising from our services shall not exceed the fees paid by you in the twelve months preceding the claim.

10. No Guarantees

While we strive to deliver excellent results, we cannot guarantee specific outcomes such as search engine rankings, traffic levels, or conversion rates. Digital marketing results depend on many factors outside our control, including search engine algorithms, market conditions, and competitor actions.

11. Termination

Either party may terminate services with 30 days written notice, unless otherwise specified in a service agreement. Upon termination, you remain responsible for payment of all services rendered up to the termination date.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify clients of any material changes. Your continued use of our services after such modifications constitutes acceptance of the updated terms.
